Employee share participation plan
All permanent employees become eligible after twelve months' service. The plan holds 9.1% of the company through a foundation (stichting administratiekantoor) which issues depositary receipts. Valuation is set annually by an independent valuer following the publication of the audited accounts.

Annual General Meeting
Held each April in Delft. Notice is sent at least 42 days in advance to the address held on the register. Shareholders may attend in person or appoint a proxy; depositary receipt holders are invited and may speak.
Transfer of shares
Shares are subject to transfer restrictions in the articles of association, including a right of first refusal for existing shareholders. Any proposed transfer must be notified to the Company Secretary, Owen Radcliffe, at legal@terravek.com.
Dividends
Terravek has not paid a dividend. The Supervisory Board's stated position is that capital is better deployed in research and development while growth remains above 15% annually. This is reviewed each year at the AGM.
Register
The shareholder register is maintained by the Company Secretary. To update your address or bank details, write to legal@terravek.com — changes are confirmed by telephone on a number already held on file before they take effect.
